Terms of Service

1. What the Services are

The Services are software for charting and technical analysis of crypto markets: a web chart with drawing tools and a library of common indicators (free to use), X1 Algo (our proprietary X1 Algo and X1 Oscillator indicators, X1 Matrix, alerts, a members' Discord community and live classes) and X1 Scanner (a screening tool that calculates X1 Algo across many coins). X1 Algo and X1 Scanner are separate paid subscriptions.

2. Not financial advice

The Services are tools and education. They are not financial, investment, trading, tax or legal advice, and nothing in them is a recommendation or solicitation to buy, sell or hold any asset. Indicator readings, scanner lists, alerts, classes and community discussions describe market data and ideas; they don't tell you what to do and don't predict what prices will do. We don't provide investment advisory, brokerage or trade execution services, we don't manage money, and we don't know your circumstances. Trading crypto assets is risky and you can lose some or all of your money. Every decision you make is your own, and you are solely responsible for it. Read the risk disclaimer, which is part of these terms.

3. Your account

• You must be at least 18 years old to use the Services.
• Give accurate information and keep your sign-in methods secure. You are responsible for everything done with your account.
• Accounts are personal. Don't share your account or subscription with others, and don't create more than one free account.
• Tell us at support@x1algo.com if you think someone else has used your account.

4. Subscriptions and payment

• X1 Algo and X1 Scanner are each sold as a monthly, quarterly or annual subscription at the prices shown on the pricing page when you subscribe, in US dollars, plus any tax that applies.
• Subscriptions renew automatically at the end of each period, and you authorize us and our payment processors to charge your payment method for each renewal until you cancel. Depending on the processor, a period is a calendar month, quarter or year, or 30, 90 or 365 days; the checkout shows which.
• Payments are processed by third-party payment processors (currently Commas and Authorize.net). Your card details go to them, not to us; we keep only the card's brand and last four digits.
• If a renewal payment fails, we or the processor may retry it, and access may end if it can't be collected.
• We may change prices. A new price applies to an existing subscription only from a renewal after we've told you about it, so you can cancel first.

5. Cancellation and refunds

You can cancel a subscription from your account page at any time. You won't be charged again, and you keep access until the end of the period you paid for. You can ask for a full refund of any payment within 30 days of it, as set out in the refund policy, which is part of these terms.

6. Acceptable use

You agree not to:

• copy, resell, redistribute or publish X1 indicator outputs, scanner lists or our software, or offer them as part of another service;
• reverse engineer, decompile or otherwise try to obtain the X1 indicators' formulas or source code;
• access the Services by bots, scrapers or other automated means, or put an unreasonable load on them;
• get around plan limits, access controls or security features;
• use the Services unlawfully, or to harass, defraud or mislead anyone, including in the community.

7. Market data

Prices, candles and coin rankings come from third parties, including crypto exchanges and CoinMarketCap. We don't control them, and data can be delayed, incomplete, wrong or unavailable; an exchange can change or stop its data at any time. Don't rely on the Services as your only source of market information. Live prices may load in your browser directly from the exchange.

8. Our intellectual property

The Services, including the X1 indicators, their outputs, the software, designs, text and the X1 Algo name and logos, belong to us or our licensors. While you follow these terms, we give you a personal, non-exclusive, non-transferable, revocable license to use the Services for your own use. We keep all other rights. If you send us feedback or ideas, we may use them without owing you anything.

9. Community and classes

X1 Algo includes access to a members' Discord server and live classes while your subscription is active. They are for education and discussion about using the tools and technical analysis. What members or presenters say is their own view, not advice to you, and you shouldn't act on it as such. Be respectful; we may remove anyone who breaks these terms or Discord's own rules. Discord is a third-party service with its own terms.

10. Changes to the Services

We work to keep the Services available and accurate, but we may change, suspend or discontinue features, markets, exchanges or indicators at any time, and the Services may sometimes be unavailable.

11. Ending your use

You can stop using the Services at any time. We may suspend or end your account if you break these terms or if we have to by law. Sections 2, 6, 8 and 12 to 15 continue after your account ends.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICES OR ANY DATA WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE OR SECURE, OR THAT ANY RESULT WILL BE ACHIEVED BY USING THEM.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some places don't allow some of these limitations, so they may not all apply to you.

14. Indemnity

You agree to cover our reasonable losses and costs, including legal fees, from claims arising out of your breach of these terms or your misuse of the Services.

15. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Before starting any formal dispute, please email us so we can try to resolve it informally within 30 days. If we can't, the dispute will be settled by binding individual arbitration under the rules of the American Arbitration Association (including its Consumer Arbitration Rules where they apply), held in Tarrant County, Texas, or online. Either of us may instead bring an individual claim in small claims court. Disputes are resolved individually; class actions and class arbitrations aren't allowed.

16. Changes to these terms

We may update these terms. We'll change the date at the top, and for material changes we'll tell subscribers by email before they take effect. Using the Services after a change takes effect means you accept the new terms.

17. Other terms

These terms, the privacy policy, the refund policy and the risk disclaimer are the whole agreement between you and us about the Services. If a part of them can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it. You can't transfer these terms; we may transfer them to a successor of our business.
